T. NOONAN ENTERPRISE INC.’S TERMS OF SERVICE

This document outlines the terms on which you may access and use T. Noonan Enterprise Inc.’s services. In order to become a T. PURCHASER ELIGIBILITY

Noonan Enterprise Inc.’s Ordering Service without prior notice. Without limiting the foregoing, the following will lead to a termination by T. Noonan Enterprise Inc. of a user’s use of T. Noonan Enterprise Inc.’s Ordering Service: (a) breaches or violations of these Terms of Service or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, and (c) unexpected technical issues or problems. Furthermore, you agree that all terminations shall be made in T. Noonan Enterprise Inc.’s sole discretion and that T. Noonan Enterprise Inc. shall not be liable to you nor any third-party for any termination of your account (if applicable) or access to T. Noonan Enterprise Inc.’s Ordering Service.

USER CONDUCT

You understand and agree not to use T. Noonan Enterprise Inc. to:

• Use T. Noonan Enterprise Inc.’s Ordering Service for any illegal purpose, including but not limited to conspiring to violate laws.
• Falsely state, impersonate, or otherwise misrepresent your identity, including but not limited to the use of a pseudonym, or misrepresenting your affiliations with a person or entity, past or present.
• Upload, email, transmit or otherwise make available any content or initiate communications which include information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships.
• Upload, email, transmit or otherwise make available any content or initiate communication that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights.
• Upload, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
• Forge headers or otherwise manipulate identifiers in order to disguise the origin of any communication transmitted through T. Noonan Enterprise Inc.’s Ordering Service.
• Post content in fields that aren’t intended for that content. Example: Putting an address in a name field.
• Interfere with or disrupt T. Noonan Enterprise Inc.’s Ordering Service or servers or networks connected to T. Noonan Enterprise Inc.’s Ordering Service, or disobey any requirements, procedures, policies or regulations of networks connected to T. Noonan Enterprise Inc.’s Ordering Service.

INTERNATIONAL USE

Recognizing the global nature of the Internet, you agree to comply with all applicable local rules including but not limited to rules regarding online conduct and acceptable content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data, and products exported from Canada or the country in which you reside.

INFORMATION PROVIDED ON THIS WEBSITE

In the course of using T. Noonan Enterprise Inc.’s Ordering Service, Purchasers may provide information about themselves or a third-party which is collected by T. Noonan Enterprise Inc. (see our Privacy Policy (click here) to learn more about information collected on this website). You understand that by uploading information on T. Noonan Enterprise Inc.’s website or otherwise providing information to T. Noonan Enterprise Inc., you are granting to T. Noonan Enterprise Inc. a royalty-free, perpetual, irrevocable license to use this information in the course of offering T. Noonan Enterprise Inc.’s Ordering Service. T. Noonan Enterprise Inc. reserves the right to charge for T. Noonan Enterprise Inc.’s Ordering Service or any portion thereof, modify the pricing of, add to, or discontinue T. Noonan Enterprise Inc.’s Ordering Service or any portion thereof without prior notice.

SUCH WARRANTY DOES NOT AFFECT ANY OTHER LEGAL RIGHTS THE PURCHASER MAY HAVE BY OPERATION OF LAW.

NO PERSON IS AUTHORIZED TO GIVE ANY FURTHER REPRESENTATION OR WARRANTY OR ASSUME ANY FURTHER OBLIGATION ON BEHALF OF EYE-STICK INC.

INDEMNIFICATION

By accepting these Terms of Service, you agree to indemnify and otherwise hold harmless T. Noonan Enterprise Inc., its officers, employees, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages resulting from i) your use of T. Noonan Enterprise Inc.’s Ordering Service; ii) unauthorized access to or alteration of your communications with or through T. Noonan Enterprise Inc.’s Ordering Service; iii) unauthorized use of third-party information; or iv) any other matter relating to the information you provide during the use of T. Noonan Enterprise Inc.’s Ordering Service. Any business transactions or decisions which may arise as a result of the use of T. Noonan Enterprise Inc. are the sole responsibility of the users involved.

Without limitation of the terms and conditions set forth in T. Noonan Enterprise Inc.’sPrivacy Policy (click here), you understand and agree that T. Noonan Enterprise Inc. may disclose personally identifiable information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to comply with legal process, enforce these Terms of Service, or protect the rights, property, or safety of T. Noonan Enterprise Inc., its users, and the public.

DISCLAIMER OF WARRANTIES

YOU UNDERSTAND AND AGREE THAT T. NOONAN ENTERPRISE INC.’S ORDERING SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND THAT T. NOONAN ENTERPRISE INC. DOES NOT ASSUME ANY RESPONSIBILITY FOR PROMPT OR PROPER DELIVERY, OR RETENTION OF ANY USER INFORMATION. T. NOONAN ENTERPRISE INC. ASSUMES NO RESPONSIBILITY FOR THE ACCURACY OR EXISTENCE OF ANY USER INFORMATION AND T. NOONAN ENTERPRISE INC. EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

T. NOONAN ENTERPRISE INC. MAKES NO WARRANTY THAT (i) T. NOONAN ENTERPRISE INC.’S ORDERING SERVICE WILL MEET YOUR REQUIREMENTS, (ii) T. NOONAN ENTERPRISE INC.’S ORDERING SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM USE OF T. NOONAN ENTERPRISE INC.’S ORDERING SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH T. NOONAN ENTERPRISE INC.’S ORDERING SERVICE WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF T. NOONAN ENTERPRISE INC.’S ORDERING SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM T. NOONAN ENTERPRISE INC. OR THROUGH OR FROM T. NOONAN ENTERPRISE INC.’S ORDERING SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS USER AGREEMENT.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTWITHSTANDING ANY WARRANTY IMPLIED BY LAW, IN NO EVENT WILL T. NOONAN ENTERPRISE INC.’s TOTAL CUMULATIVE DAMAGES EXCEED CND$100.

ENTIRE AGREEMENT

This Terms of Service constitutes the entire agreement between you and T. Noonan Enterprise Inc. and governs your use of T. Noonan Enterprise Inc.’s Ordering Service and website, superseding any prior agreements between you and T. Noonan Enterprise Inc.

LIMITATION OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT T. NOONAN ENTERPRISE INC. SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF T. NOONAN ENTERPRISE INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM YOUR USE OR INABILITY TO USE T. NOONAN ENTERPRISE INC.’S ORDERING SERVICE OR WEBSITE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTWITHSTANDING ANY WARRANTY IMPLIED BY LAW, IN NO EVENT WILL T. NOONAN ENTERPRISE INC.’S TOTAL CUMULATIVE DAMAGES EXCEED CND$100.

GOVERNING LAW

The User Agreement between you and T. NOONAN ENTERPRISE INC., and all transactions between you and T. Noonan Enterprise Inc. will be governed by and construed in accordance with the laws of the Province of Ontario (without regard to conflict of laws principles).

GENERAL INFORMATION

T. Noonan Enterprise Inc., the T. Noonan Enterprise Inc. logo, and other T. Noonan Enterprise Inc. logos and names are trademarks (pending or registered or through common law rights) of T. Noonan Enterprise Inc. You agree not to display or use these trademarks in any manner without T. Noonan Enterprise Inc.’s prior, written permission. The section titles of this User Agreement are displayed for convenience only and have no legal effect. Please send any questions or comments, or report violations of this user Agreement to T. Noonan Enterprise Inc. via the contact page of T. Noonan Enterprise Inc.’s website.

“T. NOONAN ENTERPRISE INC.’S PRIVACY POLICY

The following policy sets forth how T. Noonan Enterprise Inc. collects, uses and discloses the information about T. Noonan Enterprise Inc.’s website users (“Purchasers”) that T. Noonan Enterprise Inc. collects on this website (“Purchaser Information”). This policy applies to www.tnediesel.com and any websites related to the operation of the T. Noonan Enterprise Inc. ordering services (“T. Noonan Enterprise Inc.’s Product Ordering Service”). By using or accessing T. Noonan Enterprise Inc.’s website, you are accepting the practices described in this Privacy Policy.

INFORMATION COLLECTED

During the ordering process, T. Noonan Enterprise Inc. collects identifiable information, including, but not limited to, name, company name, telephone numbers, postal and e-mail addresses relating to the Purchaser, and any other identifiable information that T. Noonan Enterprise Inc. may reasonably require in order to provide products to T. Noonan Enterprise Inc.’s Purchasers (“Purchaser’s Information”). Purchasers who use the T. Noonan Enterprise Inc.’s Product Ordering Service may be assigned user names and passwords, all of which are used to identify the Purchasers when they are using T. Noonan Enterprise Inc.’s Product Ordering Service.

T. Noonan Enterprise Inc. may also collect names, postal or e-mail addresses, and phone numbers of non-Purchaser visitors (“Client Email List”), who have provided their identifiable information to Purchasers for, among other things, the purpose of receiving products or product information.

T. Noonan Enterprise Inc. also collects information necessary to facilitate sending and tracking electronic mail out to its Purchasers.

T. Noonan Enterprise Inc. may retain copies of any communications T. Noonan Enterprise Inc. sends to or receives from Purchasers and other visitors to T. Noonan Enterprise Inc.’s site for its records, but will not use any such information except in accordance with the terms hereof.

T. Noonan Enterprise Inc.’s web server collects and saves the default information customarily logged by World-Wide Web server software. Specifically, for each http request received, the date and time, the originating IP address, the object requested, and the completion status of the request is collected and saved.

T. Noonan Enterprise Inc. may analyze these logs to determine the traffic through the server in hits, the number of pages served, and the level of demand for pages of interest. T. Noonan Enterprise Inc. may also analyze logs to determine other statistics that may be of value to T. Noonan Enterprise Inc.

Purchasers upload information on the T. Noonan Enterprise Inc. website at their own risk. T. T. Noonan Enterprise Inc. cannot control the actions of Purchasers and the information that they provide. Therefore, T. Noonan Enterprise Inc. cannot and does not guarantee that Purchaser’s information uploaded on the T. Noonan Enterprise Inc.’s website will be accurate.

Any improper collection or misuse of information provided on T. Noonan Enterprise Inc.’s website is a violation of the Terms of Service and should be reported to T. Noonan Enterprise Inc. via the contact page of their website.

USE OF COLLECTED INFORMATION

T. Noonan Enterprise Inc. may utilize the information submitted by Purchasers to authenticate and/or verify the identity of such Purchasers who may be communicating with T. Noonan Enterprise Inc.

T. Noonan Enterprise Inc. may use the information it collects during the ordering process, and other information it collects while authenticating the identity of Purchasers to conduct security and monitoring.

T. Noonan Enterprise Inc. uses information it collects from Purchasers, including but not limited to the Client Email List, in connection the completion of all mailings on behalf of the Purchasers. T. Noonan Enterprise Inc. may use such information to operate, maintain and enhance the T. Noonan Enterprise Inc.’s Product Ordering Service and other services offered by T. Noonan Enterprise Inc. T. Noonan Enterprise Inc. may also use Purchaser information to monitor compliance with the rules and policies.

T. Noonan Enterprise Inc. may compile and analyze its Purchasers’ information into aggregated research reports. Except as may be otherwise agreed in a separate agreement between T. Noonan Enterprise Inc. and any Purchaser, T. Noonan Enterprise Inc. may share this aggregated data with its business partners.

PURCHASER ACCESS, UPDATE OR DELETION OF INFORMATION COLLECTED BY T. NOONAN ENTERPRISE INC.

Upon written request, T. Noonan Enterprise Inc. will provide to Purchaser a summary of any Purchaser Information retained by T. Noonan Enterprise Inc. regarding the Purchaser. Purchasers have a responsibility to keep certain information current. Purchasers may correct, change or update the Purchaser Information and information about their authorized representatives by notifying T. Noonan Enterprise Inc. in writing of such change. T. Noonan Enterprise Inc. undertakes to use its best efforts to correct the Purchaser Information after receipt of such request.

INFORMATION SHARING

T. Noonan Enterprise Inc. and its authorized representatives have access to the Purchaser Information, including the Client Email List.  T. Noonan Enterprise Inc. shares Purchaser Information with third parties when T. Noonan Enterprise Inc. has permission from Purchaser, when T. Noonan Enterprise Inc. believes in good faith that the law requires it, or under the circumstances described below.

T. Noonan Enterprise Inc. may disclose Purchaser Information when T. Noonan Enterprise Inc. has reason to believe that disclosing Purchaser Information is necessary to identify, contact or bring legal action against someone who may be violating the terms of use for the T. Noonan Enterprise Inc.’s Product Ordering Service or may be causing injury to or interference (either intentionally or unintentionally) with T. Noonan Enterprise Inc. rights or property, other T. Noonan Enterprise Inc. Purchasers, or anyone else who could be harmed by such activities.

T. Noonan Enterprise Inc. may share non-identifiable Purchaser Information with any third parties. From time to time, T. Noonan Enterprise Inc. may retain the services of third-party, suppliers, service providers and consultants. T. Noonan Enterprise Inc. may allow these third parties to access Purchaser Information.

T. Noonan Enterprise Inc. T. Noonan Enterprise Inc.’s website may use cookies to recognize each Purchaser as an authorized user of the T. Noonan Enterprise Inc.’s Product Ordering Service, and allow T. Noonan Enterprise Inc. to provide customized services and improve the performance and usability of any T. Noonan Enterprise Inc.’s websites. T. Noonan Enterprise Inc. may offer certain features that are only available through the use of a “cookie”.
